Agility Robotics expects approximately $465 million in gross capital from its proposed merger with Churchill Capital Corp XI and related financings, giving the Digit humanoid robot maker funding for commercial expansion ahead of a planned Nasdaq debut on November 5.
The companies expect the transaction to close on November 4, subject to Churchill XI shareholder approval at a November 2 meeting and customary closing conditions. The combined company would operate as Agility Robotics and trade under the ticker AGLT, replacing Churchill XI's current CCXI listing.
The capital estimate, before transaction expenses, follows the expiration of Churchill XI's shareholder redemption deadline. It comprises approximately $164 million from the SPAC's trust account, a $201 million private investment in public equity, or PIPE, committed at $10 per share, and $100 million in equity funding Agility has already received since the merger was announced. Foxconn leads the PIPE alongside existing and new institutional investors.
The trust contribution is below the approximately $424 million assumed without redemptions in the companies' October 13 financing outlook, which projected more than $620 million in gross proceeds from the trust and PIPE. SPAC shareholders can redeem their shares for cash rather than retain an investment through the merger, reducing the trust funds available. The updated $465 million total also includes the separately received $100 million.
Existing Agility shareholders will roll all their equity into the combined company and face a 180-day lock-up at closing. Agility plans to use transaction proceeds to fulfill orders, expand deployments, scale Digit 5 production, and invest in its robotics, AI, software, safety, and manufacturing infrastructure.

The funding comes as GXO expands Digit to two additional facilities in North Carolina and Tennessee, with deployments expected to begin in early 2027. Agility's commercial pipeline also includes an AGCO manufacturing pilot planned for 2027, three additional manufacturing customers in paid programs, and more than 30 prospective customers. Digit has accumulated more than 65,000 hours of real-world operation.

Digit 5, unveiled in September, is designed for work closer to people and a broader range of industrial tasks. Agility has selected NVIDIA IGX Thor as its sole onboard compute platform for the general-availability version. Early-access deliveries are expected in the first half of 2027, with general availability targeted for year-end.
Agility has disclosed more than $300 million in committed multi-year Digit 5 orders. That figure represents potential value over time, subject to contractual milestones, product features, and specifications, rather than current-period revenue.
